AEC ESL Examination-Table of Contents

1. Purpose. The purpose of this service is to provide for the recruitment and admission of qualified Chinese students to US colleges and universities. AEC understand and accept that the college or university to which students have applied has the sole authority regarding admissions decisions regarding any and all students presented by AEC shall have no authority or make any other legal commitments on behalf of its partner institutions.

2. Student recruitment. AEC agrees to use its resources to identify and recruit students in China who have a desire to obtain an American college education, to inform such students of the educational opportunities presented by US partner colleges and universities, to provide them with relevant information prepared by the colleges and universities, to provide application assistance to them and to forward the necessary admissions and enrollment materials to U.S. partner colleges and universities that will be attractive to Chinese students and will work with AEC and these institutions in processing applications, certifying applicants’ credentials, issuing Eligibility of Enrollment forms, issuing Confirmation of Enrollment forms and forwarding fee bank drafts and payment to the partner institutions. In addition, AEC will monitor the institution’s processing of application materials, reviewing of academic records, preparation of acceptance letters and sending of I-20 forms to assure timely response

3. Online student recruitment. AEC will use its resources to assist US schools and any other higher education institution and to identify and recruit students who have a desire to enroll in programs offered by such institutions.

4. Language and Learning Centers. AEC is authorized by US partnership college or institutions to establish learning support centers for students enrolled in any of the programs referred to in Section 3. Also, AEC agree to cooperate in establishing ESL Language Centers in locations to be determined.

5. University collaborations. AEC will use its resources to establish and maintain positive relations and agreements with Chinese universities who desire to collaborate with U.S. colleges and universities. AEC will be responsible for servicing any and all cooperative marketing agreements made between AEC respective institutions and for advise students, faculty and others at these institutions involved in these collaborations on how to develop successful, satisfying experiences.

6. Study tours. As appropriate. AEC will recruit students, faculty or other participants for short-term travel and study tours in China that have been designed by AEC for partner colleges and universities. AEC agrees to create and offer study tours that meet the needs and interests of participants from these partner institutions.

MARKETING SERVICES AGREEMENT

This Agreement is made this ________ day of March 2006, by and between American Education Center, Inc., hereinafter called AEC whose principal office is at Suite 407, Main St., Flushing, NY, USA, 11354 and XXX University, a regionally accredited university whose principal office is at .In all matters, AEC will act as an independent contractor.

1. Purpose. The purpose of this Agreement is to provide for the recruitment and admission of qualified Chinese students to XXX. AEC shall promote xxx and its accredited courses and programs and recruit students in accordance with the Duties, Terms, Rights and Code of Conduct outlined in this Agreement. XXX shall provide information to AEC in a timely manner that facilitates the recruitment process and shall have the sole right to make admissions decisions regarding any and all students presented by AEC.

2. Duties. AEC agrees to use its resources to identify and recruit students in China who have a desire to obtain an American college education, to inform such students of the educational opportunities presented by XXX, to provide them with relevant information that XXX has prepared for prospective students and given to AEC, to provide application and enrollment assistance to them and to make available English language, visa preparation and other relevant educational services through AEC-affiliated Learning Centers located on select university campuses in China. Further, AEC will assist such students through the processing of applications, certifying applicants credentials, issuing Eligibility of Enrollment forms, issuing Confirmation of Enrollment forms and forwarding all fee bank drafts and payment to XXX. Additionally, once an AEC-recruited student matriculates at XXX, AEC will work with XXX to monitor the student success and will visit XXX a minimum of two times a year. For its part, XXX agrees to process application materials, conduct academic record assessments, prepare and send I-20 forms, and provide any other necessary information to AEC and to student applicants in a timely manner. Normally, timely manner shall be considered as no more than ten (10) business days.

3. Student Acceptance and Scholarship. XXX agrees to accept all students recruited through AEC who satisfy XXX requirements for admission, providing space is available, and is encouraged to provide such qualified students with a merit scholarship. Further, with regard to demonstration of college-level English proficiency, while XXX requires a TOEFL score of 500 on the paper exam, it agrees to accept students who have lower TOEFL scores with the understanding that such students will be given an English proficiency test upon arrival on campus and placed in an appropriate ESL class, if such classes are available, with such placement to be at XXX sole discretion. XXX will accept students who have completed the English training program at a Learning Center in China that is affiliated with AEC without requiring a TOEFL score, but reserves the right to give such students an English proficiency test upon arrival and place them in an appropriate ESL class, if XXX so determines that such placement is necessary for the attainment of college-level English proficiency.

6.General Provisions. AEC will
Act in an ethical and professional manner in all undertakings with international students, their families and XXX,
Provide advice to international students based on instructions and written information supplied by XXX,
Provide information to international students about life and study in the USA; and
Provide continuing support to students enrolled at XXX through AEC,
Not undermine the good name of XXX or its representatives,
Perform all responsibilities and obligations under applicable laws and provisions, and
Perform all work diligently and in good faith.
For its part, XXX will:
Conform to all requirements of the Education Services for Overseas Students (ESOS) Act;
Not undermine the good name of AEC or its representatives;
Only publish materials that fully and accurately reflect the facilities and services provided by XXX at the time they are published;
Provide appropriate support services to assist international students in adjusting successfully to life and study in the USA and at XXX, and
Provide appropriate support and information to the AEC in order to assist AEC recruitment of students for XXX. .

11.urisdiction. This Agreement shall be governed by the laws of the State of New York, USA.
